Affiliate Commission Payment Terms

1. Commission Eligibility

Affiliates are only entitled to commission on completed and successfully paid customer orders.

No commission will be paid on:

  • Cancelled orders
  • Refunded orders (full or partial, with commission adjusted accordingly)
  • Chargebacks or disputed transactions
  • Fraudulent transactions
  • Orders identified as self-referrals or made in breach of the Affiliate Program Terms
  • Gift card purchases (unless and until the gift card is redeemed in accordance with these Terms)

The Company reserves the right to withhold, reverse, adjust, or recover commissions where an order is subsequently refunded, cancelled, disputed, found to be ineligible, or otherwise breaches these Terms.

2. TikTok Shop Affiliate Commissions

For sales generated through the TikTok Shop Affiliate Program, commission calculations, approval processes, payment schedules, payment methods, and commission reversals are governed by TikTok Shop's affiliate platform and applicable policies.

Affiliate commissions for TikTok Shop sales are paid directly by TikTok Shop to the affiliate. The Company is not responsible for processing, administering, guaranteeing, or resolving payments made through TikTok Shop.

Affiliates are responsible for complying with all applicable TikTok Shop affiliate policies and payment requirements.

3. UpPromote Affiliate Commissions

For sales tracked through the Company's UpPromote affiliate program:

  • Commissions are initially recorded as Pending.
  • Commissions become eligible for payment only after the related order has been marked as Approved by the Company.
  • Approval will generally occur after the applicable return, refund, and dispute period has passed.
  • Commissions are paid monthly in arrears following approval.
  • Payment is made via bank transfer upon receipt of a valid invoice from the affiliate.
  • Affiliates are responsible for providing accurate payment, banking, and invoicing information.

The Company reserves the right to delay, withhold, or reject payment where additional verification is required or where there is a reasonable suspicion of fraud, abuse, or breach of these Terms.

4. Sale and Promotional Pricing

Unless otherwise stated in writing, affiliate commissions are calculated on the actual amount paid by the customer after discounts, promotional offers, coupon codes, bundle discounts, and sale pricing have been applied.

For orders subject to VAT, commission shall be calculated on the VAT-inclusive order value paid by the customer.

Shipping charges, duties, gift card purchases, and other non-product charges are excluded from commission calculations unless expressly agreed otherwise.

No commission shall be paid on the purchase of gift cards. Commission may become payable when a gift card is redeemed for eligible products and a qualifying purchase is completed, subject to these Terms and the applicable affiliate platform's tracking capabilities.

The Company may, at its sole discretion, adjust commission rates during promotions, product launches, seasonal sales, clearance events, special campaigns, or other marketing initiatives. Any temporary changes will be communicated in advance where reasonably practicable.

5. Attribution and Tracking

Affiliate commissions are awarded based on the attribution and tracking data recorded by the applicable affiliate platform.

Where multiple affiliates, influencers, referral links, discount codes, or marketing channels are involved in the same customer journey, commission shall be awarded only to the affiliate credited by the applicable tracking platform at the time of purchase.

Commission cannot be split between affiliates unless expressly agreed by the Company in writing.

The Company's records and the records of the applicable affiliate platform shall be final in determining commission eligibility and attribution.

6. Payment Threshold and Currency

The Company may withhold payment until the affiliate's approved commission balance reaches the minimum payment threshold specified within the affiliate platform or otherwise communicated to the affiliate.

Where commissions are paid in a currency different from the currency in which the sale was recorded, the Company may convert amounts using a reasonable commercial exchange rate available at the time of payment.

Any bank fees, intermediary fees, foreign exchange charges, payment processing fees, or currency conversion costs incurred in connection with the payment may be deducted from the commission payment where permitted by law.

The Company is not responsible for losses arising from exchange rate fluctuations or charges imposed by financial institutions.

7. Account Suspension and Fraud Prevention

The Company reserves the right to suspend, restrict, investigate, or terminate an affiliate account at any time where it reasonably suspects:

  • Fraudulent activity
  • Self-referrals
  • Artificial or manipulated transactions
  • Misleading or deceptive marketing practices
  • Abuse of discount codes or promotions
  • Manipulation of tracking systems
  • Breach of these Terms
  • Any activity that may cause financial, legal, or reputational harm to the Company

During any investigation, the Company may withhold unpaid commissions until the matter has been resolved.

Any commissions found to have been generated through prohibited activity shall be forfeited and may be reversed or recovered by the Company.

8. Right to Audit

The Company reserves the right to review and audit affiliate activity, referrals, transactions, commission calculations, payment records, and compliance with these Terms at any time.

Any commission paid in error may be deducted from future payments or recovered from the affiliate.

9. Changes to the Affiliate Program

The Company reserves the right to amend, suspend, or terminate the Affiliate Program, commission rates, payment procedures, eligibility requirements, or these Terms at any time.

Continued participation in the Affiliate Program following notification of any changes constitutes acceptance of the updated Terms.

10. Final Decision

All decisions regarding commission eligibility, attribution, approval, suspension, reversal, payment, and interpretation of these Terms shall be made by the Company acting reasonably and in good faith.

The Company's decision shall be final and binding in relation to any dispute concerning affiliate commissions.
